1. The Service

CMOgpt provides analytics-driven insights and considerations to support business decision-making.

• CMOgpt is a decision-support tool and does not act or execute changes on your behalf

• The service is read-only and informational in nature

• CMOgpt does not modify Shopify stores, transactions, campaigns, or data

• CMOgpt does not execute actions on your behalf

You remain solely responsible for all business decisions and outcomes resulting from your use of the service.

1.1 Eligibility and Authority
You represent and warrant that you are the owner of the Shopify store, or an authorised representative with permission to connect the store and access its data.

2. No Professional Advice

​

CMOgpt does not provide financial, investment, accounting, tax, legal, or other professional advice.

All insights, outputs, and recommendations are provided for informational purposes only and are not a substitute for professional advice.

You are solely responsible for evaluating and acting on any information provided by the service.

You acknowledge that you do not rely on CMOgpt as the sole or primary basis for any business, financial, or operational decision.​​

3. Use of Artificial Intelligence

​

CMOgpt uses artificial intelligence services provided by OpenAI to generate insights.

​

• OpenAI acts as a sub-processor under commercial API terms.

• Customer data submitted for AI processing:

  • Is not used to train public AI models

  • Is not shared with other OpenAI customers

  • Is retained only as required to deliver the service and maintain security

  

CMOgpt remains responsible for customer data in accordance with these Terms, the Privacy Policy, and the Data Processing Addendum.

4. Data Access, Privacy & Security

​

CMOgpt accesses only the data required to provide the service, which may include: - Shopify store data, where connected by you - Analytics data (e.g. GA4), where connected by you, limited to merchant-level performance metrics.

CMOgpt: 

• Does not sell customer data 

• Does not use data for advertising 

• Does not modify store data 

• Deletes merchant data following app uninstall or a valid request, subject to reasonable retention required for security, compliance, or legal purposes

Data is processed and stored using trusted infrastructure providers (such as AWS), in accordance with applicable privacy and data protection laws.

For the purposes of applicable data protection laws, you act as the data controller and CMOgpt acts as the data processor.

5. Accuracy & Use of Insights

Insights provided by CMOgpt: 

​

• Depend on the quality, completeness, and context of data inputs

• May involve estimates, assumptions, or incomplete information

• Include AI-generated inferences which may, in some circumstances, be inaccurate, outdated, or incomplete in certain contexts

• Are intended to support, not replace, decision-making

This limitation applies to all outputs regardless of format, including charts, written responses, examples, emails, or support communications.

CMOgpt does not guarantee outcomes or results.

 

 

6. Fees, Billing & Pricing

​

CMOgpt is offered on a subscription basis. All billing is handled through Shopify’s billing system.

 

• CMOgpt does not process payments directly or store payment details

• Prices are exclusive of applicable taxes unless stated otherwise

• Fees are payable regardless of usage levels or outcomes achieved

Except as required by law, fees are non-refundable. Pricing may change with reasonable notice.
 

 

7. Cancellation

You may cancel your subscription at any time via Shopify. Cancellation takes effect at the end of the current billing period.
No refunds are provided for unused time, except where required by law.

8. Service Changes, Availability & Security

​

CMOgpt may modify, suspend, or discontinue all or part of the service at any time, including features or integrations. 

While reasonable steps are taken to operate a reliable service, uninterrupted, error-free, or breach-free operation is not guaranteed.

Except where required by law, CMOgpt is not liable for loss resulting from service changes, interruptions, or discontinuation.

The service may be provided on an early-access or evolving basis and may contain errors, limitations, or incomplete features from time to time.

Early access, foundation, promotional, or special access arrangements are provided at our discretion and do not create perpetual or guaranteed rights.

9. Acceptable Use

​

You must not:

• Use CMOgpt unlawfully

• Treat outputs as professional advice

• Misuse, reverse engineer, or interfere with the service

• Circumvent security or access controls

• Breach Shopify’s terms or applicable laws•

CMOgpt may suspend or terminate access for misuse or non-compliance.

10. Termination

​

CMOgpt may suspend or terminate your access at any time if:

• You breach these Terms

• Continued provision of the service is no longer commercially or technically viable

• The service is discontinued

Use of the service is permitted only during an active subscription.
Termination does not entitle you to a refund, except where required by law.

11. Intellectual Property

We may update this Privacy Policy from time to time. Material changes will be communicated via the service or email.

12. Limitation of Liability

​

To the maximum extent permitted by law:

• CMOgpt is not liable for indirect, incidental, or consequential loss

• CMOgpt is not liable for loss of profits, revenue, data, or business opportunity

• Total liability is capped at the greater of (a) the fees paid by you in the 12 months preceding the claim, or (b) AUD $100.

Nothing in these Terms excludes rights that cannot be excluded under the Australian Consumer Law.

13. Governing Law & Jurisdiction

​

These Terms are governed by the laws of Victoria, Australia, regardless of where the service is accessed from, without regard to conflict of law principles.

You submit to the exclusive jurisdiction of the courts of Victoria, Australia.

14. Changes o These Terms

​

CMOgpt may update these Terms from time to time. Material changes will be communicated via the service, email, or the Shopify App Store listing.

Continued use of the service constitutes acceptance of the updated Terms.
