We believe it is important to be clear when using tools that support key business decisions.
These Terms of Service set out the conditions that apply when you install, access, or use CMOgpt.
By installing, accessing, or using CMOgpt, you agree to these Terms. If you do not agree, you must not use the service.
Our Terms of Service
1. The Service
CMOgpt provides analytics-driven insights and AI-assisted business recommendations for ecommerce merchants.
CMOgpt helps users understand performance, benchmark business metrics, identify performance gaps, and consider possible actions.
CMOgpt is a decision-support tool.
CMOgpt does not act on your behalf.
CMOgpt does not modify your Shopify store, transactions, products, inventory, customer records, campaigns, or settings.
CMOgpt does not execute changes or business actions for you.
You remain responsible for all decisions and outcomes resulting from your use of the service.
2. Eligibility and Authority
You represent that you are the owner of the Shopify store, or an authorised representative with permission to connect the store and access its data.
You are responsible for ensuring that your use of CMOgpt complies with your own internal policies, obligations to customers, and applicable laws.
3. No Professional Advice
CMOgpt does not provide financial, investment, accounting, tax, legal, or other professional advice.
All insights, outputs, recommendations, examples, and analysis are provided for informational purposes only.
CMOgpt should not be relied on as the sole or primary basis for decisions that may have financial, legal, tax, operational, or commercial impact.
You should seek professional advice where appropriate.
4. Data Access
CMOgpt accesses only the data required to provide the service.
This may include:

Shopify order data

Product and inventory information

Store performance metrics
-
Google Analytics 4 metrics, where connected by you

Marketing spend entered by you

Business targets entered by you

Business questions, prompts, or context entered by you
CMOgpt uses this data to calculate metrics, assess marketing efficiency, benchmark performance, identify performance gaps, and provide business strategy recommendations.
CMOgpt does not intentionally collect customer-identifiable information such as customer names, customer email addresses, customer phone numbers, delivery addresses, payment details, or card information.
5. MCP and API access
CMOgpt may provide access to selected business data and analysis through an MCP server or API.
MCP access is designed to allow authorised AI tools, such as Claude or ChatGPT, to query CMOgpt business context and provide AI-assisted answers.
Through MCP, CMOgpt may provide:

Scoring matrix outputs

Proprietary analytical frameworks needed to support machine reasoning
MCP access is designed to be read-only.
You are responsible for keeping MCP tokens, API keys, account credentials, and access details secure.
You must not share MCP or API access with anyone who is not authorised to access the merchant account or connected business data.
CMOgpt may suspend or revoke MCP or API access if we believe it is being misused, exposed, compromised, or used in breach of these Terms.
6. Use of AI
CMOgpt uses artificial intelligence services to generate insights and responses.
AI outputs are generated from available business data, benchmarks, CMOgpt analytical frameworks, and the questions or prompts you provide.
Merchant data submitted for AI processing:

Is not used to train public AI models

Is not sold

Is not used for advertising

Is not reused across other merchants

Is processed only to provide the service
AI-generated outputs may include assumptions, estimates, or incomplete interpretations.
You are responsible for reviewing all outputs before acting on them.
7. Accuracy and use of insights
CMOgpt insights depend on the quality, completeness, and context of the data available.
Outputs may be affected by missing data, incorrect data, delayed data, platform limitations, incomplete business context, or AI interpretation errors.
CMOgpt does not guarantee that any insight, recommendation, benchmark, score, forecast, or suggested action will be accurate, complete, current, or suitable for your business.
CMOgpt does not guarantee business results.
8. Fees, billing, and subscription
CMOgpt is offered on a subscription basis.
Billing may be handled through Shopify or another approved billing provider.
CMOgpt does not directly store payment card details.
Fees are payable regardless of usage levels or business outcomes achieved.
Except where required by law, fees are non-refundable.
Pricing may change with reasonable notice.
9. Cancellation
You may cancel your subscription at any time through the available billing or account management process.
Cancellation takes effect at the end of the current billing period unless otherwise stated.
No refunds are provided for unused time, except where required by law.
10. Service changes and availability
CMOgpt may modify, suspend, or discontinue all or part of the service at any time.
This may include features, integrations, data sources, scoring logic, benchmarks, MCP access, or AI functionality.
While we take reasonable steps to operate a reliable service, we do not guarantee uninterrupted, error-free, or breach-free operation.
The service may be provided on an early-access, trial, foundation, or evolving basis and may contain errors, limitations, or incomplete features.
11. Acceptable use
You must not:

Use CMOgpt unlawfully

Use CMOgpt to access data you are not authorised to access

Share MCP or API access with unauthorised users

Circumvent security or access controls

Reverse engineer, scrape, overload, or interfere with the service

Use CMOgpt to expose customer data unlawfully

Treat outputs as professional advice

Breach Shopify, Google, OpenAI, or other third-party platform terms
CMOgpt may suspend or terminate access for misuse or non-compliance.
12. Intellectual property
CMOgpt, including its software, scoring logic, decision trees, benchmarks, analytical frameworks, prompts, workflows, interface, and proprietary methods, remains the property of CMOgpt or its licensors.
You retain ownership of your merchant data.
You are granted a limited right to use CMOgpt during an active subscription or trial period.
You must not copy, reproduce, resell, sublicense, or commercially exploit CMOgpt except as expressly permitted.
13. Termination
CMOgpt may suspend or terminate your access if:

You breach these Terms

Continued provision of the service is no longer commercially or technically viable

The service is discontinued

We believe access has been misused, compromised, or used unlawfully
Use of the service is permitted only during an active subscription, trial, or approved access period.
Termination does not entitle you to a refund, except where required by law.
14. Limitation of liability
To the maximum extent permitted by law:

CMOgpt is not liable for indirect, incidental, special, consequential, or economic loss

CMOgpt is not liable for loss of profits, revenue, data, goodwill, business opportunity, or expected savings

CMOgpt is not liable for decisions made based on outputs generated by the service

Total liability is capped at the greater of the fees paid by you in the 12 months preceding the claim or AUD $100
Nothing in these Terms excludes rights that cannot be excluded under the Australian Consumer Law.
15. Governing laws
CMOgpt may update these Terms from time to time.
Material changes will be communicated via the service, email, website, or Shopify App Store listing.
Continued use of the service constitutes acceptance of the updated Terms.
